Terms of Service
Effective Date: 1 January 2026 · Spectra IT Solutions LTD trading as Clawdence
These Terms govern your participation in the Clawdence Private Alpha programme. By using the service you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to do so. "Clawdence", "we", or "us" refers to Spectra IT Solutions LTD trading as Clawdence.
1. The Service
Clawdence is a Synthetic Agile Workforce - a fully autonomous, asynchronous software development system. It receives requirements via Slack, decomposes them into stories, writes failing tests, implements code, cross-validates output using multiple LLMs, and raises Pull Requests for merge. The OpenClaw Engine is deployed as a containerized application within the customer's own cloud infrastructure or provided as a managed single-tenant instance, depending on the agreed deployment model.
2. Private Alpha - As-Is Provision
The Clawdence Private Alpha is experimental, pre-release software. It is provided "as-is" and "as-available" without warranty of any kind, express or implied. Spectra IT Solutions LTD trading as Clawdence makes no representations regarding uptime, availability, accuracy of output, or fitness for a particular purpose. No Service Level Agreements (SLAs) apply during the Private Alpha period. Participation is offered at our sole discretion and may be withdrawn at any time.
3. Intellectual Property
You own 100% of the code, tests, and Pull Requests generated by Clawdence on your behalf. Spectra IT Solutions LTD trading as Clawdence claims no ownership, licence, or interest in the output produced from your requirements and your repository. Spectra IT Solutions LTD trading as Clawdence retains ownership of the Clawdence platform, the OpenClaw Engine, agent orchestration logic, and all underlying intellectual property.
4. Bring Your Own Keys (BYOK)
The Clawdence platform operates using your own LLM API keys (OpenAI, Google, Grok, or other providers). By providing your API keys:
- -You accept sole responsibility for all API usage costs incurred by Clawdence on your behalf.
- -You confirm that your use of those keys complies with the respective provider's terms of service.
- -Spectra IT Solutions LTD trading as Clawdence is not responsible for any cost overruns, API rate limits, or provider-side service interruptions.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Spectra IT Solutions LTD trading as Clawdence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, business interruption, deployment of defective code, corruption of a production environment, or costs of substitute services, arising from your use of or inability to use the service, even if Spectra IT Solutions LTD trading as Clawdence has been advised of the possibility of such damages. You assume all risk for the code Clawdence generates, reviews, and merges into your repositories. You are responsible for your own deployment, testing, and production release processes.
6. Acceptable Use
You agree not to use Clawdence to:
- -Generate malicious code, malware, or exploits.
- -Circumvent security controls or access systems you are not authorised to use.
- -Reverse-engineer, decompile, or attempt to extract the source code or architecture of the Clawdence platform.
- -Resell or sublicence access to the service to any third party.
Spectra IT Solutions LTD trading as Clawdence reserves the right to throttle, suspend, or terminate your instance if your usage degrades shared infrastructure or violates these terms.
7. Confidentiality
Both parties agree to keep confidential any non-public technical, business, or commercial information disclosed during the Private Alpha. You agree not to publicly disclose details of the Clawdence architecture, pricing, or pilot programme without prior written consent. We agree not to disclose your identity as a design partner without your permission.
8. Termination
Either party may terminate participation in the Private Alpha at any time with 7 days written notice. Upon termination, Spectra IT Solutions LTD trading as Clawdence will revoke all access, delete your data within 30 days, and return or destroy any credentials provided. Sections 3, 5, and 7 survive termination.
9. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
We will notify active pilot partners of any material changes by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the revised terms.
